License Agreement

This IdentityRM™ Software License Agreement ("Agreement") is entered into by and between Evolved Identity Solutions, LLC ("Evolved Identity") and the Counterparty identified in the applicable Order Form.

Purpose and Scope

This Agreement governs access to IdentityRM™ as an identity context and authority runtime, including AI- and agent-assisted operations.

License Grant

Evolved Identity grants a limited, non-exclusive, non-transferable license solely for evaluation or internal use, subject to strict restrictions.

Ownership and IP

Evolved Identity retains all rights to the Software, including identity context models, delegation semantics, authority logic, temporal access systems, and AI-safe execution patterns.

Data Distinction

Customer Input Data remains owned by Counterparty. Identity Context Data and Derived Decision Data are intrinsic to the Software and may not be used independently.

Use Restrictions

Counterparty shall not reverse engineer, benchmark, replicate, or build substitute or competing systems.

AI and Agent Restrictions

Counterparty shall not train, fine-tune, embed, store, or derive AI systems from the Software's behavior or outputs.

Non-Competitive Use

Counterparty may not use the Software to inform internal roadmaps or replacement efforts.

Confidentiality

Confidential Information is governed by the parties' NDA.

Term and Survival

Key IP, AI, and use restrictions survive termination.

Governing Law

Texas law governs.

Conflict and Order of Precedence

In the event of any conflict between this Agreement and the IdentityRM™ Terms of Service, this Agreement shall control with respect to licensed usage rights.

Platform Integrity and Control Protections

Counterparty shall not override, modify, interfere with, bypass, or circumvent any core platform safeguards, execution controls, authority logic, permission enforcement mechanisms, temporal controls, AI-safety constraints, or audit systems within IdentityRM™, including through runtime modification, unauthorized code injection, interception, tampering, reverse proxy manipulation, or other techniques designed to alter intended platform behavior.

AI Model Extraction and Behavioral Cloning Prohibition

Counterparty shall not use the Software, its outputs, decision traces, execution behavior, authority patterns, or system responses to train, fine-tune, distill, replicate, simulate, benchmark, model, or otherwise derive competing AI systems, authority engines, identity context models, decision logic, or behavioral replicas. Any attempt to extract system reasoning patterns, delegation semantics, or runtime decision behaviors for the purpose of building substitute, derivative, or competing systems is strictly prohibited.

Strategic OEM and Competitive Safeguards

Counterparty shall not use the Software for the purpose of competitive analysis, replacement planning, OEM substitution strategy, acquisition modeling, architectural replication, or internal roadmap development intended to reproduce or compete with IdentityRM™ functionality. Access to the Software does not grant rights to replicate identity context runtime architecture, delegation frameworks, temporal authority systems, AI-safe execution models, or associated intellectual property. These restrictions survive termination.

Intellectual Property Enforcement and Trade Secret Protection

Counterparty acknowledges that IdentityRM™ is protected by patent rights, pending patent applications, trade secret protections, and other intellectual property laws. Counterparty shall not misappropriate, disclose, reverse engineer, extract, replicate, or derive any trade secrets, confidential algorithms, authority runtime logic, delegation semantics, AI-safe execution mechanisms, or architectural frameworks embodied in the Software.

Counterparty further acknowledges that any unauthorized use, derivative development, competitive replication, or trade secret misappropriation may cause irreparable harm to Evolved Identity Solutions LLC. Evolved Identity Solutions LLC shall be entitled to seek injunctive relief, equitable remedies, and specific performance, in addition to all other remedies available at law or in equity, without the necessity of posting bond where permitted by applicable law.
